Terms of Service

1. Agreement to Terms

This End User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and Vigil Cyber LLC ("Company," "we," "us," or "our"), governing your use of the Vigilance HQ platform and related services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, you may not access or use the Service.

2. Description of Service

Vigilance HQ is a managed service provider (MSP) client portal that provides:

  • IT support ticket management and communication
  • Project tracking and collaboration
  • Secure password vault management
  • Calendar and scheduling functionality
  • Security monitoring and browser protection
  • Asset and device management
  • Reporting and analytics
  • Integration with third-party services including Microsoft 365 and QuickBooks

3. License Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include the right to:

  • Modify, copy, or create derivative works of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Rent, lease, lend, sell, or sublicense the Service
  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any systems or networks

4. User Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate and complete registration information
  • Maintain and promptly update your account information
  • Notify us immediately of any unauthorized access or security breach
  • Not share your account credentials with unauthorized parties

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, available at vigilcyber.com/privacy. You acknowledge that:

  • We collect and process data as described in our Privacy Policy
  • You have the authority to submit data on behalf of your organization
  • You are responsible for the accuracy of data you provide
  • Certain data may be shared with integrated third-party services as authorized

6. SMS/Text Messaging Terms

You may opt in to receive SMS messages from Vigil Cyber by checking the optional SMS consent box on our website contact, resource, or referral forms; by texting START to a Vigil Cyber number; or by giving clear written or verbal consent to a Vigil Cyber employee. The SMS consent checkbox is optional, is not required to submit a website form, and is not a condition of purchase or service.

Vigil Cyber SMS is used for low-volume, one-to-one conversations between you and a Vigil Cyber employee. Message types may include direct conversational messages, appointment scheduling, service updates, informational notices, security assessment follow-up, and customer support. We do not use this SMS service for affiliate marketing, mass marketing, or automated promotional campaigns.

  • Message frequency: Msg frequency varies based on your conversation and service needs.
  • Rates: Msg & data rates may apply.
  • Help: Reply HELP for help, call (980) 300-8737, or email support@vigilcyber.com.
  • Opt out: Reply STOP, QUIT, END, REVOKE, OPT OUT, CANCEL, or UNSUBSCRIBE to stop receiving messages from that Vigil Cyber number. Reply START to resume.
  • Privacy: Mobile opt-in data will not be shared with third parties. See our Privacy Policy.

7. Third-Party Integrations

The Service may integrate with third-party services including Microsoft 365, QuickBooks, and others. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or content of third-party services.

8. Intellectual Property

The Service, including all content, features, and functionality, is owned by Vigil Cyber LLC and is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability

To the maximum extent permitted by law, Vigil Cyber LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability shall not exceed the amount paid by you for the Service in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Vigil Cyber LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of this Agreement.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of this Agreement. Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination shall survive.

13. Changes to Agreement

We reserve the right to modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement on the Service or by other means. Your continued use of the Service after such changes constitutes acceptance of the modified Agreement.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions. Any disputes arising from this Agreement shall be resolved in the courts of Mecklenburg County, North Carolina.
